1. Acceptance of Terms

By accessing or using the One Goal Sherpa web application and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our application or Services. These Terms apply to all visitors, users, and others who access or use our Services.

2. Description of Services

One Goal Sherpa is a daily goal-setting and identity-momentum web application operated by OGAAT / One Goal at a Time. Our Services include, but are not limited to, AI-powered goal guidance, mood and emotional check-ins, daily ritual experiences, streak tracking, goal history, and optional SMS notifications. The Sherpa is an AI guide designed to help you build consistency through one goal at a time. The Sherpa is an automated artificial intelligence system. You are not interacting with a human being at any point during your use of the Services.

3. Account Registration

To use our Services, you must create an account by providing a valid email address. You agree to:

• Provide accurate and complete information when registering
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

You must be at least 18 years old to create an account and use our Services.

4. Use of the Application

You agree to use our application only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the application in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the application or its related systems
• Use automated tools to scrape, crawl, or extract data from the application without prior written consent
• Transmit any malicious code, viruses, or harmful material
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Use the AI-powered Sherpa to generate content that is harmful, abusive, or violates any laws

5. AI-Generated Content

One Goal Sherpa uses artificial intelligence to provide personalized guidance, goal suggestions, and motivational responses. You acknowledge and agree that:

• AI-generated content is provided for informational and motivational purposes only
• The Sherpa is not a licensed therapist, counselor, or medical professional, and its guidance should not be considered a substitute for professional advice
• AI responses may occasionally be inaccurate, and you should use your own judgment when acting on suggestions
• We do not guarantee any specific outcomes from following AI-generated guidance
• The Sherpa relies on third-party AI services (currently Anthropic's Claude API) to generate responses. While we design the experience with care, we do not control and are not responsible for the underlying model outputs beyond reasonable design effort
• For medical, psychological, financial, legal, or other professional matters, you should consult a qualified professional and not rely on the Sherpa

Crisis and Emergency Notice. The Sherpa is not designed to handle medical, psychological, or safety emergencies. If you are experiencing a mental health crisis, having thoughts of self-harm, or are in any emergency, contact 988 (Suicide & Crisis Lifeline) or 911 immediately. Do not rely on the Sherpa for crisis support.

6. Subscriptions and Payments

Certain features of our Services may require a paid subscription. Payment is processed through Stripe. By subscribing, you agree to:

• Pay the applicable fees for your chosen subscription tier
• Authorize recurring charges at the beginning of each billing cycle
• Cancel your subscription at any time through your account settings or by contacting us

Refund eligibility will be determined on a case-by-case basis. We reserve the right to change subscription pricing with reasonable notice.

7. Intellectual Property

All content in this application — including text, graphics, logos, icons, animations, and software — is the property of One Goal Sherpa / OGAAT or its content suppliers and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content in this application without our express written permission.

8. Your Content

You retain ownership of any content you submit through the application, including goals, reflection notes, and conversation messages. By submitting content, you grant us a limited license to store, process, and use that content solely for the purpose of providing and improving our Services. We will not share your personal content publicly or with other users.

9. Disclaimer of Warranties

Our application and Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not guarantee that our application will be uninterrupted, secure, or error-free. We do not guarantee specific results from using our Services. Personal growth and goal achievement depend on many factors including individual effort, consistency, and circumstances.

10. Limitation of Liability

To the fullest extent permitted by law, One Goal Sherpa and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data or emotional distress, arising out of or related to your use of our application or Services. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to One Goal Sherpa for Services in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless One Goal Sherpa, OGAAT, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising out of or in connection with your use of our application or Services, your violation of these Terms, or your violation of any rights of a third party.

12. Third-Party Links

Our application may contain links to third-party websites or services that are not owned or controlled by One Goal Sherpa. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. You acknowledge and agree that One Goal Sherpa shall not be responsible or liable for any damage or loss caused by the use of any such content or services.

13. SMS Communications

You can cancel the SMS service at any time. Just text "STOP" to the number from which you received messages. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, simply re-enable SMS notifications in your account settings and we will start sending SMS messages to you again.

Carriers are not liable for delayed or undelivered messages. As always, message and data rates may apply for any messages sent to you from us and to us from you. Message frequency may vary. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

14. Binding Arbitration and Class Action Waiver

Please read this section carefully. It affects your legal rights and limits how disputes between you and One Goal Sherpa can be resolved.

Except as expressly provided below, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your interactions with the Sherpa shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Washington State, or remotely if both parties agree. The arbitrator's decision shall be final and enforceable in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this provision.

Class Action Waiver. You agree that any arbitration or proceeding shall be conducted only on an individual basis and not in a class, consolidated, collective, or representative action. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class proceeding. If a court determines that this class action waiver is unenforceable as to any claim or any part of a claim, then this entire arbitration provision shall be null and void with respect to such claim, and that claim shall instead proceed in court under Section 15 (Governing Law).

Exceptions. The following are excluded from arbitration: (a) claims that may be brought in a small claims court in your jurisdiction, so long as the matter remains in that court and proceeds only on an individual basis; and (b) claims for injunctive or equitable relief related to intellectual property rights or unauthorized use of the Services.

30-Day Opt-Out. You may opt out of this arbitration agreement by sending written notice to hello@onegoalsherpa.com within thirty (30) days of first accepting these Terms. Your notice must include your full name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provisions of these Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Subject to Section 14 (Binding Arbitration and Class Action Waiver), any disputes not subject to arbitration shall be resolved in the state or federal courts located in Washington State.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page. Your continued use of our application after changes are posted constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
